Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Teramag Holding FZC (UAE Free Zone, "PreKare", "we", "us") governing your access to and use of the PreKare mobile application, website (prekare.ai), and all related services (collectively, the "Service").

If you are using PreKare on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not install or use the Service.

2. Description of the Service

PreKare is a freemium mobile application that uses artificial intelligence to provide personalised preventive care recommendations. The Service analyses contextual signals — including (with your consent) your approximate location, device calendar, health app data, and weather conditions — to suggest relevant consumer products available on Amazon.

The Service is available in two tiers:

• Free tier — limited recommendations per month, basic health area coverage.
• Premium (€4.99/month or €39.99/year) — unlimited recommendations, all health areas, proactive care alerts, priority support.

Family plans and additional tiers may be introduced with advance notice.

3. No Medical Advice — Important Disclaimer

PreKare is not regulated as a medical device under EU MDR (Regulation 2017/745) or equivalent legislation. The Service does not diagnose, treat, cure, or prevent any disease or medical condition.

4. Accounts & Eligibility

4.1 Eligibility

You must be at least 16 years old to create an account. By registering, you represent that you meet this requirement and that all information you provide is accurate and complete.

4.2 Account security

You are responsible for maintaining the confidentiality of your credentials. Notify us immediately at security@prekare.ai if you suspect unauthorised access. We are not liable for losses resulting from unauthorised use of your account.

4.3 One account per person

You may create one personal account. Multiple accounts for the same person are prohibited and may result in termination of all associated accounts.

5. Subscription & Billing

5.1 Payment processing

Subscriptions are processed through Apple App Store (iOS) or Google Play (Android). Your purchase is subject to their respective terms of service in addition to ours. We do not store your payment information.

5.2 Billing cycle

Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date. The renewal charge will be applied to your App Store or Play Store account within 24 hours prior to the end of the current period.

5.3 Cancellation & refunds

You may cancel your subscription at any time through your App Store or Play Store account settings. Cancellation takes effect at the end of the current paid period — you retain Premium access until then. Refunds are governed by Apple's or Google's respective refund policies. We do not issue refunds directly.

5.4 Price changes

We may change subscription prices with at least 30 days' prior notice via email and in-app notification. Continued use after the price change takes effect constitutes acceptance.

5.5 Free trial

Where we offer a free trial, your subscription will automatically convert to a paid plan at the end of the trial unless you cancel before the trial ends.

6. Amazon Affiliate Disclosure

PreKare participates in the Amazon Associates Programme, an affiliate advertising programme designed to provide a means for sites and apps to earn advertising fees by advertising and linking to Amazon.com and affiliated marketplaces.

When you click a product recommendation in PreKare and make a purchase on Amazon, PreKare may earn a commission at no additional cost to you. This commission does not influence which products are recommended — our AI selects recommendations solely based on fit to your personal context and stated preferences.

PreKare is not endorsed by, affiliated with, or sponsored by Amazon.com, Inc. "Amazon" and related logos are trademarks of Amazon.com, Inc.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law.
• Attempt to reverse-engineer, decompile, or extract source code from the app.
• Use automated tools (bots, scrapers) to access or interact with the Service.
• Interfere with or disrupt the integrity or performance of our servers or networks.
• Create accounts for the purpose of spamming, abuse, or circumventing usage limits.
• Impersonate any person or entity or misrepresent your affiliation.
• Use the Service to generate, distribute, or promote harmful, illegal, or infringing content.

Violations may result in immediate suspension or termination of your account and, where appropriate, legal action.

8. Intellectual Property

8.1 Our IP

All content, software, algorithms, branding, and materials within the Service are the exclusive property of Teramag Holding FZC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the app for personal, non-commercial purposes.

8.2 Your content

You retain ownership of any content you submit (e.g. chat messages, preferences). By submitting content, you grant PreKare a worldwide, royalty-free licence to use that content solely to provide and improve the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.

9. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data and is incorporated into these Terms by reference. Our GDPR Compliance page provides additional detail for EU/EEA users.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

• The Service will meet your specific requirements.
• Recommendations will be accurate, complete, or suitable for your individual health situation.
• The Service will be uninterrupted, error-free, or free from viruses or harmful components.
• Product prices or availability on Amazon will be accurate at the time of viewing.

11. Limitation of Liability

To the maximum extent permitted by applicable law, PreKare, its directors, employees, and agents shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or health outcomes.
• Damages arising from reliance on recommendations as medical advice.
• Damages arising from products purchased through Amazon recommendations.

In no event shall our total aggregate liability to you exceed the greater of (a) the amount you paid for the Service in the 12 months preceding the claim, or (b) €50.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

12. Termination

12.1 By you

You may delete your account at any time from Settings → Account → Delete account. Deletion is permanent and irreversible. Active subscriptions must be cancelled separately through your App Store or Play Store account.

12.2 By us

We may suspend or terminate your account immediately, without notice, if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will attempt to provide advance notice where feasible.

12.3 Effect of termination

Upon termination, your licence to use the Service ends and we will delete your personal data in accordance with our Privacy Policy (except where retention is required by law).

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Portugal and the European Union. For EU/EEA consumers, mandatory consumer protection laws of your country of residence also apply.

Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Coimbra, Portugal, unless you are an EU consumer who chooses to bring proceedings in your local courts.

EU consumers may also use the EU Online Dispute Resolution platform.

For users of the Teramag Holding FZC entity (non-EU/EEA), disputes shall be governed by UAE law and submitted to the courts of Sharjah, UAE.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification and email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
